AS Tallink Grupp (?Selts" või ?Tallink") teatas täna, et on praeguseks läbinud
mitu etappi kavandatava Seltsi aktsiate teisese noteerimise protsessis
(?Noteerimine") Nasdaq Helsinki Ltd (?Nasdaq Helsinki börs") põhinimekirjas
Soome väärtpaberite hoidmistunnistuste (inglise keeles: Finnish share depositary
receipts - ?FDR-id") vormis. Selts teatab FDR-ide Tasuta Konverteerimisperioodi
algusest (defineeritud allpool) ning konverteerimise juhistest.
Aktsiate konverteerimine FDR-ideks ning FDR-ide Tasuta Konverteerimisperiood
Nordea Bank Abp (FDR-ide agent (inglise keeles: issuer agent), ?FDR-ide Agent")
on nõustunud mitte küsima Seltsi aktsionäridelt konverteerimistasu, mis kohaldub
nende aktsiate FDR-ideks konverteerimisele, summas 120 EUR perioodi jooksul
alates orienteeruvalt 19. novembrist 2018, kell 12.00 päeval Soome aja järgi,
kuni orienteeruvalt 29. novembrini 2018, kell 18.00 Soome aja järgi (?FDR-ide
Tasuta Konverteerimisperiood"), tingimusel, et FDR-ide Tasuta
Konverteerimisperioodi ei pikendata. FDR-ide Tasuta Konverteerimisperioodi
kestel pakutakse üht tasuta konverteerimist väärtpaberikonto kohta
(?Konverteerimise Kampaania"). Aktsionäride oma teenuseosutajate tasud
kohalduvad endiselt. FDR-ideks konverteeritud aktsiad ei kuulu avalikult
kauplemisele kuni oodatava kauplemise alustamiseni orienteeruvalt 3. detsembril
2018.

Juhised aktsiate FDR-ideks konverteerimiseks:
1. Võtke ühendust oma väärtpaberikonto kontohalduriga, kes hoiab teie
Tallinki aktsiaid, ning oma Soome kontohalduriga, et anda korraldus aktsiate
FDR-ideks konverteerimiseks.
Palun võtke teatavaks: Selleks, et konverteerida enne kauplemise alustamist
Nasdaq Helsinki börsil, võtke palun ühendust oma sobiva väärtpaberikonto
kontohalduriga, tagamaks, et saate hoida noteerimata Soome väärtpabereid (FDR-
id) registrikande vormis.
2. Teie kontohaldurid võtavad ühendust FDR-ide Agendiga ning esitavad FDR-ide
Agendile informatsiooni ja juhised vastava konverteerimise jaoks.
3. Konverteerimine sõltub teatud tingimuste täitmistest.* Kui kõik kohustused
on täidetud, teeb FDR-ide Agent mõistlikud jõupingutused samal päeval
konverteerimiseks.
*) Rohkem informatsiooni nõuete kohta leiate FDR-ide tingimustest, mis on
kättesaadavad Seltsi veebilehel aadressil www.tallink.com/nasdaq-helsinki.
Kõikide konverteerimiste puhul, välja arvatud Konverteerimise Kampaania puhul,
on FDR-ide Agendil õigus nõuda Seltsi aktsionärilt või FDR-i omanikult mis tahes
tasude, kulude ja kulutuste tasumist seoses konverteerimisega. FDR-ide Agent
võib keelduda taotletud konverteerimisest või sellega viivitada. Murdosa
aktsiaid või FDR-e ei registreerita. Selguse huvides, aktsionäride oma
teenuseosutajate tasud kohalduvad endiselt.
FDR-i omanik võib ka konverteerida FDR-id Seltsi aktsiateks, tehes vastava
korralduse nii Soome kontohaldurile, kelle juures FDR-id on väärtpaberikontol
registreeritud, kui ka sobivale kontohaldurile (kes võtab ühendust FDR-i
agendiga). Sobivad kontohaldurid esitavad alati FDR-ide Agendile vastava
konverteerimise jaoks informatsiooni ja juhised. Sellisele konverteerimisele ei
kohaldu FDR-ide Tasuta Konverteerimisperiood. Rohkem informatsiooni leiate FDR-

Olulised kuupäevad
* FDR-ide Tasuta Konverteerimisperiood algab orienteeruvalt: 19. novembril
2018 kell 12 päeval
* FDR-ide Tasuta Konverteerimisperiood lõpeb orienteeruvalt: 29. novembril
2018 kell 18.00
* FDR-idega kauplemine algab eeldatavalt Nasdaq Helsinki börsi põhinimekirjas
orienteeruvalt: 3. detsembril 2018

AS Tallink Grupp announces the commencement of Free FDR Conversion Period and the instructions for conversion

UNLAWFUL.
AS Tallink Grupp (the "Company" or "Tallink") announced today that it has now
completed several milestones in the contemplated process for the secondary
listing (the "Listing") of the Company's shares on the main list of Nasdaq
Helsinki Ltd ("Nasdaq Helsinki") in the form of Finnish share depositary
receipts (the "FDRs"). The Company announces the commencement of the Free FDR
Conversion Period (as defined below) as well as the instructions for conversion.
Conversion of shares into FDRs and the Free FDR Conversion Period
Nordea Bank Abp (issuer agent for the FDRs, "FDR Issuer") has agreed not to
charge the conversion fees from the Company's shareholders resulting from the
conversion of their shares into FDRs, amounting to EUR 120, for a period
commencing on or about 19 November 2018 at 12.00 noon Finnish time and ending on
or about 29 November 2018 at 6.00 pm Finnish time (the "Free FDR Conversion
Period"), provided that the Free FDR Conversion Period is not extended. One free
conversion of shares into FDRs per securities account will be offered during the
Free FDR Conversion Period (the "Campaign Conversion"). Shareholders' own
service providers' fees will still apply. Shares converted into FDRs are not
subject to public trading until expected commencement of trading on or about 3
December 2018.

Instructions for converting shares into FDRs:
1. Contact your book-entry account operator holding your Tallink shares and
your Finnish account operator to give an order to convert shares into FDRs.
Please note: For conversions prior to commencement of trading on Nasdaq
Helsinki, please contact your eligible book-entry account operator to ensure
that you are able to hold unlisted Finnish securities (FDRs) in a book-entry
form.
2. Your account operators shall contact the FDR Issuer and provide the FDR
Issuer with information and instructions concerning such a conversion.
3. Conversion is conditional upon the fulfilment of certain requirements.*
When all the obligations are fulfilled, the FDR Issuer uses reasonable efforts
to convert on the same day.
*) For the requirements, please see the FDRs terms and conditions available on
the Company's website at www.tallink.com/nasdaq-helsinki.
For all conversions, except for the Campaign Conversions, the FDR Issuer has the
right to charge the Company's shareholder or FDR holder all fees, costs and
expenses arising in connection with the conversion. The FDR Issuer may also
decline to carry out any requested conversion or postpone it. Fractional shares
or FDRs will not be registered. For the sake of clarity, shareholders' own
service providers' fees will still apply in all cases.
An FDR holder may also convert FDRs into the Company's shares by giving both the
Finnish account operator with whom the FDRs are registered in a book-entry
account and the eligible account operator (who shall contact the FDR Issuer) an
order to this effect. The eligible account operators shall always provide the
FDR Issuer with information and instructions concerning such conversion. Such
conversion is not covered by the Free FDR Conversion period. Please see the FDR

* The Free FDR Conversion Period commences on or about: 19 November 2018 at
12 noon
* The Free FDR Conversion Period ends on or about: 29 November 2018 at 6.00 pm
* Trading in the FDRs on the main list of Nasdaq Helsinki is expected to
