PRF: Muudatused AS-i PRFoods ja selle tütarühingute juhtorganites

21.01.2015 esitasid AS-i PRFoods juhatuse liikmed Katre Kõvask (juhatuse
esimees) ja Erik Haavamäe AS-i PRFoods nõukogule tagasiastumisavaldused.
Mõlemad juhatuse liikmed astuvad juhatusest tagasi 01.02.2015.
AS-i PRFoods juhatuse liikmete tagasiastumises lepiti kokku Baltikumi ja
Venemaa jäätise ja külmkauba äritegevuse müügitehingu läbirääkimiste käigus.

AS-i PRFoods juhatuse liikmed Katre Kõvask, Erik Haavamäe ja Silver Kaur
jätkavad tehingu käigus müüdud ühingute (Premia Baltikumi jäätise- ja
külmkaubaäri) juhtorganite liikmetena. Seoses juhatuse liikmete
tagasiastumisega astub nõukogu esimees Indrek Kasela tagasi AS-i PRFoods
nõukogust ja võtab üle AS-i PRFoods igapäevase juhtimise juhatuse esimehena. Ta
esitas vastavasisulise AS-i PRFoods üldkoosolekule adresseeritud
tagasiastumisavalduse AS-i PRFoods juhatusele 23.01.2015. Indrek Kasela
tagasiastumise kuupäevaks on 31.01.2015. Indrek Kasela asub tegutsema AS-i
PRFoods juhatuse esimehena ning Lauri Kustaa Äimä nõukogu esimehena alates
02.02.2015.
Seoses muudatustega AS-i PRFoods kontserni emaettevõtja juhtorganites
kutsutakse Katre Kõvask ja Erik Haavamäe tagasi ka kontserni tütarühingute
juhtorganitest. Mõlemad, Katre Kõvask ja Erik Haavamäe, on tütarühingute
Saaremere Kala AS-i ja Vettel OÜ nõukogu liikmed. Kõik Saaremere Kala AS-i
nõukogu liikmed (sealhulgas Silver Kaur) kutsutakse tagasi ning nõukogu hakkab
koosnema kolmest liikmest: Indrek Kasela, Lauri Kustaa Äimä ja Kuldar Leis.
Vettel OÜ nõukogu jätkab samuti kolmeliikmelisena ning koosneb Indrek Kaselast
(kes jätkab oma senist tegevust nõukogu liikmena) ning Lauri Kustaa Äimä ja
Margus Rebane vahetavad välja senised liikmed Katre Kõvaski ja Erik Haavamäe.
Lisaks kontserni Eesti ühingute juhtorganites tehtavatele muudatustele
kutsutakse Katre Kõvask ja Erik Haavamäe tagasi Soome tütarühingu Heimon Kala
Oy juhatusest. Alates 02.02.2015 on Heimon Kala Oy juhatus kaheliikmeline ja
koosneb Indrek Kaselast ja Margus Rebasest.

PRF: Changes in Management Bodies of AS PRFoods and its subsidiaries

On 21.01.2015, the members of the Management Board of AS PRFoods Katre Kõvask
(the Chairman of the Management Board) and Erik Haavamäe submitted the
Supervisory Board of AS PRFoods their letters of resignation. Both members of
the Management Board will resign on 01.02.2015.
The resignation of the members of the Management Board of AS PRFoods was agreed
in the course of the transaction of the sale and transfer of the Baltic and
Russian ice cream and frozen goods operations of the group finalised in the end
of 2014 (additional information on the transaction is available at

The former members of Management Board of AS PRFoods Katre Kõvask, Erik
Haavamäe and Silver Kaur continue as the members of the management bodies of
the entities sold and transferred (Premia’s ice cream and frozen goods business
in the Baltic states).
In connection with the resignation of the current members of the Management
Board, the Chairman of the Supervisory Board of AS PRFoods Indrek Kasela will
resign from the Supervisory Board in order to take over the day to day
management of the company as the new Chairman of the Management Board. He has
submitted the respective letter of resignation addressed to the General Meeting
of shareholders of AS PRFoods to the Management Board of AS PRFoods on
23.01.2015. The date of his resignation is 31.01.2015. Indrek Kasela will
assume the position of the Chairman of the Management Board and Lauri Kustaa
Äimä the position of the Chairman of the Supervisory Board as from 02.02.2015.
In connection with the changes in the management bodies of the parent company
of the group AS PRFoods, Katre Kõvask and Erik Haavamäe will be recalled from
the management bodies of the subsidiaries of the group. Both Katre Kõvask and
Erik Haavamäe serve as the members of the Supervisory Boards of Saaremere Kala
AS and Vettel OÜ. All the members of the Supervisory Board of Saaremere Kala AS
will be recalled (including Silver Kaur) and the Supervisory Board will consist
of three members: Indrek Kasela, Lauri Kustaa Äimä and Kuldar Leis. The
Supervisory Board of Vettel OÜ will continue in the composition of three
members as well, comprising of Indrek Kasela (continuing in its current
position as the member of Supervisory Board); and Lauri Kustaa Äimä and Margus
Rebane substituting Katre Kõvask and Erik Haavamäe.
In addition to the changes in the Estonian subsidiaries of the group, Katre
Kõvask and Erik Haavamäe will also be recalled from the Management Board of the
Finnish subsidiary of the group Heimon Kala Oy. As from 02.02.2015, the
Management Board of Heimon Kala Oy will consist of two members, including
Indrek Kasela and Margus Rebane.
