Optsiooniprogrammi korraldamise leping
Teade
Nordecon AS teatab, et 16. juulil 2014 teostati Nordecon AS'i,
optsiooniprogrammi korraldaja Raidla Lejins & Norcous Advokaadibüroo OÜ ja
viimase poolt optsiooniprogrammi läbiviimiseks asutatud tütarettevõtte,
Veratrum OÜ vahel sõlmitud teenuse osutamise ja optsioonilepingu järgsed
toimingud, mille tulemusena omandas Nordecon AS optsiooniprogrammi raames
emiteeritud aktsiad ning hoiab neid tresooraktsiatena optsiooniprogrammi
täitmiseks.
Nordeconi kontsern hõlmab ettevõtteid, mis on keskendunud hoonete ja rajatiste
ehitamise projektijuhtimisele ja peatöövõtule. Geograafiliselt tegutsevad
kontserni ettevõtted täna Eestis, Ukrainas ja Soomes. Kontserni emaettevõte
Nordecon AS on registreeritud ja asub Tallinnas, Eestis. Kontserni kuulub
lisaks emaettevõttele üle 10 tütarettevõtte. Kontserni 2013. aasta
konsolideeritud müügitulu oli 174 miljonit eurot ja puhaskasum 4,6 miljonit
eurot. Nordeconi kontsern annab hetkel tööd üle 700 inimesele. Alates
18.05.2006 on emaettevõtte aktsiad noteeritud NASDAQ OMX Tallinna Börsi
põhinimekirjas.

Option Plan Arrangement Agreement

Nordecon AS announces that on 16 July 2014 the transactions deriving from the
service performance and option agreement signed between Nordecon AS, arranger
of the option plan Raidla Lejins & Norcous Advokaadibüroo OÜ and its subsidiary
established for the implementation of the option plan, Veratrum OÜ were
performed, whereby Nordecon AS acquired the shares issued under the option plan
and maintains these shares as own shares for the implementation of the option
plan.
Nordecon is a group of construction companies whose core business is
construction project management and general contracting in the buildings and
infrastructures segment. Geographically the Group operates in Estonia, Ukraine
and Finland. The parent of the Group is Nordecon AS, a company registered and
located in Tallinn, Estonia. In addition to the parent company, there are more
than 10 subsidiaries in the Group. The consolidated revenue of the Group in
2013 was 174 million euros and net profit 4.6 million euros. Currently Nordecon
Group employs more than 700 people. Since 18 May 2006 the company's shares have
been quoted in the main list of the NASDAQ OMX Tallinn Stock Exchange.
